Terms of Service

These terms govern your use of the BotnFlow platform. Please read them carefully before using our services.

1. Acceptance of Terms

By accessing or using BotnFlow (the "Service"), operated by Bidups Technologies ("BotnFlow," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). These Terms apply to all users of the Service, including visitors, free-tier users, and paid subscribers.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. In that case, "you" and "your" will refer to that entity.

If you do not agree to these Terms, you may not access or use the Service. We recommend saving or printing a copy of these Terms for your records.

2. Description of Service

BotnFlow is an AI-powered chatbot automation platform that enables businesses to:

  • Build and deploy conversational chatbots using a visual flow builder
  • Manage customer conversations across WhatsApp, Email, SMS, and Voice channels
  • Leverage AI-powered responses for natural language understanding
  • Integrate with third-party CRM, e-commerce, and marketing platforms
  • Access analytics, team collaboration tools, and automation workflows

The Service is provided via our web application at app.botnflow.com and through our REST API. Features available to you depend on your subscription plan.

3. User Accounts

3.1 Registration

To use the Service, you must:

  • Be at least 18 years of age or the age of majority in your jurisdiction
  • Provide accurate, complete, and current registration information
  • Maintain and promptly update your account information

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or security breach at security@botnflow.com

3.3 Team Accounts

If you invite team members to your account, you are responsible for their compliance with these Terms. The account owner controls access levels, permissions, and billing for all team members. Removing a team member revokes their access but does not delete any data they created during their access period.

4. Subscriptions & Billing

4.1 Plans & Pricing

  • Current pricing and plan details are available on our Pricing page
  • All prices are listed in USD unless otherwise stated
  • Prices are exclusive of applicable taxes, which will be added at checkout

4.2 Billing Cycle

  • Paid subscriptions are billed monthly or annually in advance
  • Subscriptions automatically renew at the end of each billing period
  • You may cancel auto-renewal at any time before the next billing date

4.3 Upgrades & Downgrades

  • Upgrades: Take effect immediately. You are charged the prorated difference for the remaining billing period
  • Downgrades: Take effect at the start of the next billing cycle. Features exceeding the new plan's limits will be restricted

4.4 Refunds

  • 14-day money-back guarantee on your first paid subscription
  • After the 14-day period, no refunds are issued for partial billing periods
  • Annual plans may be eligible for prorated refunds within 30 days at our discretion

4.5 Overage & Usage Limits

Each plan has defined message limits. If you exceed your plan's message allowance: we will notify you when you reach 80% and 100% of your limit. You can either upgrade your plan or purchase additional message packs. We will not suspend your service without prior notification.

5. Acceptable Use Policy

You agree to use the Service responsibly and lawfully. You must NOT use BotnFlow to:

Spam & Unsolicited Messaging

  • • Send bulk unsolicited messages
  • • Message users who have not opted in
  • • Violate anti-spam laws (CAN-SPAM, TCPA, PECR)
  • • Send misleading or deceptive communications

Illegal & Harmful Content

  • • Distribute malware, viruses, or harmful code
  • • Engage in phishing, scams, or fraud
  • • Promote illegal activities or substances
  • • Distribute content that exploits minors

Platform Abuse

  • • Attempt to reverse engineer the Service
  • • Exceed rate limits or abuse the API
  • • Circumvent security measures or access controls
  • • Scrape or harvest data from the platform

Rights Violations

  • • Infringe intellectual property rights
  • • Impersonate another person or organization
  • • Violate third-party privacy rights
  • • Resell or sublicense the Service without authorization

Enforcement: Violation of this policy may result in immediate suspension or termination of your account, without refund. We reserve the right to report illegal activities to relevant authorities.

6. User Content & Data

6.1 Ownership

You retain full ownership of all content you create, upload, or transmit through the Service ("User Content"). This includes chatbot flows, templates, media files, customer data, and conversation logs.

6.2 License Grant

By using the Service, you grant BotnFlow a limited, non-exclusive, worldwide license to use, process, store, and transmit your User Content solely for the purpose of providing and improving the Service. This license terminates when you delete your content or close your account.

6.3 Your Responsibilities

  • You are solely responsible for your User Content and its legality
  • You must have all necessary rights, consents, and permissions for content you upload
  • You must comply with all applicable data protection laws regarding your customers' data
  • You must comply with third-party platform policies (e.g., WhatsApp Business Policy, Meta Commerce Policy)

6.4 Data Export

You may export your data at any time through the platform dashboard or by contacting support. Upon account termination, you will have 30 days to export your data before it is permanently deleted.

7. Intellectual Property

The Service, including its design, features, functionality, code, documentation, logos, and trademarks, is owned by BotnFlow and protected by intellectual property laws worldwide. All rights not expressly granted in these Terms are reserved.

You may not copy, modify, distribute, sell, lease, or create derivative works of the Service or any part thereof without our prior written permission.

Feedback: If you provide suggestions, ideas, or feedback about the Service, we may use them without obligation or compensation to you. You grant us a perpetual, irrevocable license to use such feedback for any purpose.

8. Third-Party Integrations

The Service allows you to connect with third-party services (CRM, e-commerce platforms, analytics tools, etc.). When you enable an integration:

  • You authorize BotnFlow to access and exchange data with the connected service on your behalf
  • You are responsible for complying with the third-party service's terms of use
  • BotnFlow is not responsible for the availability, accuracy, or security of third-party services
  • We may add, modify, or remove integration support at any time with reasonable notice

9. WhatsApp & Channel-Specific Terms

When using WhatsApp through BotnFlow, you additionally agree to comply with:

  • Meta's WhatsApp Business API Terms of Service
  • WhatsApp Business Messaging Policy (including opt-in requirements)
  • Meta Commerce Policy for any commercial messages

Note: WhatsApp message templates must be approved by Meta before use. BotnFlow is not responsible for template rejections. WhatsApp conversation charges from Meta are separate from BotnFlow subscription fees and are billed according to Meta's pricing.

10. Service Level Agreement

For paid plans, BotnFlow commits to the following service levels:

Uptime is measured monthly, excluding scheduled maintenance windows. If we fail to meet the uptime SLA, Business plan customers are eligible for service credits as outlined in their service agreement. Free/Starter plans do not include SLA guarantees.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT GUARANTEE ANY SPECIFIC RESULTS FROM USE OF THE SERVICE.

AI-GENERATED RESPONSES MAY CONTAIN INACCURACIES. YOU ARE RESPONSIBLE FOR REVIEWING AND VERIFYING AI OUTPUT BEFORE IT IS SENT TO YOUR CUSTOMERS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BOTNFLOW, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO BOTNFLOW IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

13. Indemnification

You agree to indemnify, defend, and hold harmless BotnFlow and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; (d) your violation of any third-party rights, including privacy rights; or (e) messages sent through your account to your end-users.

14. Termination

14.1 Termination by You

You may close your account at any time through your account settings or by contacting support. Upon cancellation, your subscription continues until the end of the current billing period. After that, your account is deactivated.

14.2 Termination by Us

We may suspend or terminate your access if you:

  • Violate these Terms or our Acceptable Use Policy
  • Fail to pay subscription fees after notification
  • Engage in activities that harm other users or the platform
  • Are required by law or channel providers (e.g., Meta) to have access revoked

14.3 Effect of Termination

  • Your right to use the Service ceases immediately
  • You have 30 days to export your data after termination
  • After 30 days, your data will be permanently deleted
  • Sections that should survive termination (IP, liability, indemnification) will continue to apply

15. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

Dispute Resolution: Any disputes arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, it shall be submitted to binding arbitration under the Arbitration and Conciliation Act, 1996 of India. The arbitration shall be conducted in English.

Exceptions: Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

16. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy and any applicable order forms, constitute the entire agreement between you and BotnFlow.
  • Severability: If any provision is found to be unenforceable, the remaining provisions shall continue in full force and effect.
  • Waiver: Failure to enforce any provision does not constitute a waiver of that provision or any other provision.
  • Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Force Majeure: Neither party shall be liable for delays or failures caused by events beyond reasonable control (natural disasters, wars, pandemics, government actions, internet outages).
  • Modifications: We may update these Terms from time to time. Material changes will be communicated via email or platform notification at least 30 days before taking effect. Continued use of the Service after changes constitutes acceptance.
